Pursuant to the Acquisition Agreement dated 30 July 2024 between Minnadeooyasan-Hanbai Co., Ltd. (“the Company”), Kyosei Bank Co., Ltd. (“Kyosei Bank”), a majority shareholder of the Company, and Bowen Fintech Plc (“Bowen”), a company which is listed on the Official List of the Financial Conduct Authority (“FCA”) and admitted to trading on the Main Market for listed securities of the London Stock Exchange in the U.K., Kyosei Bank has today, 19 August 2024, completed the transfer of 97.41% of the issued share capital in MOH owned by Kyosei Bank to Bowen, and as consideration, Kyosei Bank has been issued with new Bowen shares amounting to 80.69% of Bowen’s enlarged issued share capital.
In conjunction with this Transaction, Bowen has changed its name to “MOH NIPPON PLC”, and its ordinary shares have started trading on the London Stock Exchange Main Market today (British Standard Time) under the new ticker symbol “MOH”.
The Company was established in 1998 as the founding company of the Kyosei Bank Group. Our entry into the UK capital market is an important step in our growth strategy, made possible by your generous support.
